The Dhatu App, developed and operated by Microbi Infotech Private Limited, 
is a comprehensive digital platform designed to revolutionize agricultural 
practices  by  integrating  modern  technology  with  traditional  farming 
methods.  The  app  caters  to  farmers,  agronomists,  and  agricultural 
businesses  by  offering  a  range  of  services,  including  farm and crop 
management, organic produce trading, soil health analysis, educational 
resources, and geo-fencing solutions.  

In an era where sustainable and organic farming is gaining prominence, the 
Dhatu App aims to bridge the gap between farmers, consumers, and 
agribusinesses by providing a seamless and efficient digital ecosystem. The 
platform  empowers  users  with  real-time  data, expert insights, and a 
marketplace  for  organic  products,  ensuring  better  productivity  and 
profitability.

This Terms and Conditions Agreement outlines the legal terms governing 
the use of the Dhatu App, ensuring a secure, compliant, and transparent 
experience for all users. By accessing or using the app, users agree to abide 
by these terms, which define their rights, responsibilities, and limitations 
within the platform. 

1.  LEGAL INFORMATION & COMPANY OVERVIEW: 

1.1  Legal Information: 
The Dhatu App is owned, operated, and managed by Microbi Infotech 
Private Limited, a company incorporated under the Companies Act, 2013, 
with its registered office at: 
Chinna’s  complex,  REVA  university  circle,  Bagalur  Main  Road,

technology-driven solutions to enhance the efficiency, sustainability, and 
productivity of agricultural activities. The Dhatu App serves as an integrated 
platform offering farm management tools, organic product trading, and 
agricultural insights to farmers, traders, and agricultural enterprises. 
The company operates in compliance with applicable Indian laws, data 
protection  regulations,  and  e-commerce  guidelines  governing  digital 
platforms and online transactions. 

1.2  Acceptance of Terms: 

●  By accessing, registering, or using the Dhatu App, you (the “User”) 
agree to comply with and be bound by these Terms and Conditions. 
These terms constitute a legally binding agreement between the User 
and Microbi Infotech Private Limited. 
●  If you do not agree with these Terms, you are advised not to use the 
App. Continued usage of the App signifies explicit acceptance of these 
Terms. 
●  Microbi Infotech Private Limited reserves the right to modify, update, 
or replace any part of these Terms at its discretion. Users will be 
notified of any significant changes through in-app notifications, email, 
or updates on our website. It is the responsibility of the User to review 
these Terms periodically. 
●  If you violate any of the terms mentioned herein, the company 
reserves the right to suspend or terminate your access to the App 
without prior notice. 

2.  DEFINITIONS: 

For  the  purpose  of  these  Terms  and  Conditions, unless the context 
otherwise requires, the following terms shall have the meanings assigned to 
them: 

2.1  "App": 
Refers to the Dhatu App, a mobile and web-based digital platform operated 
by  Microbi  Infotech  Private  Limited,  designed  to  provide  agricultural 
services, farm management solutions, and an organic marketplace.
 
2.2  "Company" / "We" / "Us" / "Our": 
Refers to Microbi Infotech Private Limited, the legal owner and operator of 
the Dhatu App. 

2.3  "User" / "You" / "Your": 
Refers to any individual, farmer, trader, business entity, or third-party 
service provider who accesses, registers, or interacts with the Dhatu App. 
Users may include: 

●  Registered Farmers: Individuals engaged in agricultural activities who 
use the platform for farm management, trading, or learning. 
●  Buyers & Traders: Businesses or individuals purchasing agricultural 
or organic produce through the platform. 
●  Service Providers: Agricultural consultants, soil testing experts, and 
other professionals offering services through the App. 
●  Visitors:  Individuals  accessing  the  App  without  registering,  for 
information purposes. 

2.4  "Services": 
Refers to the various functionalities and features provided through the 
Dhatu App, including but not limited to: 
●  Farm & crop management tools 
●  Organic marketplace for buying and selling produce 
●  Soil health analysis and reports 
●  Geo-fencing and weather predictions 
●  Agricultural educational content 
●  Store locator for organic inputs 

2.5  "Account": 
Refers to a personalized user profile created on the Dhatu App by registering 
with a valid mobile number, email address, or other required credentials. 

2.6  "Third-Party Services": 
Refers to any external service provider, payment gateway, logistics partner, 
or external platform integrated with the Dhatu App to facilitate transactions, 
service delivery, or additional functionalities. 

2.7  "Intellectual Property Rights (IPR)": 
Refers to all patents, trademarks, copyrights, trade secrets, and other 
proprietary rights associated with the Dhatu App, its content, and branding. 

2.8  "Force Majeure": 
Refers  to  any  unforeseen  circumstances  beyond  reasonable  control, 
including but not limited to natural disasters, government restrictions, 
cyber-attacks, server failures, or other emergencies that may impact the 
functionality of the App. 

2.9  "Dispute": 
Refers to any disagreement, claim, or legal contention arising between a 
User and the Company regarding the use of the Dhatu App or any 
transaction facilitated through it. 
These definitions shall apply throughout the Terms and Conditions and 
shall guide the interpretation of the clauses herein. 

3.  ELIGIBILITY AND USER OBLIGATIONS: 

3.1  Eligibility: 
To use the Dhatu App, you must meet the following criteria: 

●  Age Requirement: You must be at least 18 years old or the age of 
majority in your jurisdiction (whichever is greater). 

●  Legal Capacity: You must have the legal capacity to enter into a 
binding contract under the laws of your country or state. If you are 
using the App on behalf of a business or other organization, you 
represent and warrant that you have the authority to bind that 
organization to these Terms. 
By accessing and using the App, you confirm that you meet the eligibility 
requirements set forth herein. If you are unable to meet these requirements, 
you must not access or use the App. 

3.2  User Obligations: 

As a User of the Dhatu App, you agree to the following obligations: 
●  Accurate Information: You agree to provide accurate, complete, and 
current  information  when  registering,  creating  an  account,  or 
engaging  with  the  services  offered  through  the  App.  You  are 
responsible for maintaining the accuracy and completeness of your 
information. 
●  Security  of  Account:  You  are  responsible  for  maintaining  the 
confidentiality of your account credentials, including your password 
and login details. You agree to immediately notify the Company if you 
suspect any unauthorized access or use of your account. 
●  Compliance with Laws: You agree to comply with all applicable local, 
national, and international laws and regulations while using the App, 
including  those  related  to  agricultural  practices,  commerce, 
environmental sustainability, and data protection. 
●  Non-Disruptive Behaviour: You agree not to engage in any conduct 
that could disrupt or interfere with the functionality of the App or its 
services, including but not limited to:  
●  Distributing malware or other harmful software 
●  Sending spam or unsolicited communications 
●  Attempting to access systems or accounts without authorization 
●  Engaging in fraudulent activities or misrepresentations 
 
 
 
●  Respect for Other Users: You agree to use the App in a manner that is 
respectful and courteous towards other users. Any form of harassment, 
hate speech, or inappropriate conduct towards other users will not be 
tolerated and may result in suspension or termination of your account. 
●  Use of Services: You agree to use the Services only for lawful purposes, 
such as:  
●  Managing farm operations and crops 
●  Trading organic produce 
●  Utilizing educational content for agricultural knowledge 
●  Engaging with third-party service providers (e.g., soil testing, 
consultancy) in accordance with their terms. 
●  Prohibited Activities: You are prohibited from using the App for the 
following activities:  
●  Violation of any intellectual property rights of the Company or 
third parties 
●  Engaging in illegal or unethical agricultural practices 
●  Using the App for any activity that could harm the reputation of 
the Company or the platform 
●  Selling or promoting unauthorized goods or services through the 
App 
Failure to adhere to these obligations may result in account suspension, 
termination, or legal action as deemed necessary by the Company. 
3.3 User Responsibilities: 
You are solely responsible for: 
●  Ensuring that the devices and software you use to access the App are 
compatible  with  the  platform  and  meet the necessary technical 
requirements. 
●  Keeping your login details confidential and secure. 
●  Monitoring your activity and usage of the App. 

4.  Orders and Payments 

4.1  Orders & Transactions: 
The Dhatu App facilitates transactions for agricultural products, organic 
goods, and related services. By placing an order on the platform, you 
acknowledge and agree to the following terms: 
●  Order Confirmation: Placing an order constitutes an offer to purchase. 
The Company reserves the right to accept or reject an order based on 
product availability, compliance with laws, and internal policies. 
●  Order  Processing:  Orders  will  be  processed  only  after  payment 
confirmation. Users will receive an email or in-app notification upon 
successful order placement. 
●  Pricing & Availability: Prices of products and services are subject to 
change without prior notice. Availability of products is dependent on 
stock levels and supplier commitments. 
●  Cancellation Policy: Users may cancel orders within a specified period 
(as per the cancellation policy mentioned in the App). The Company 
reserves the right to cancel orders due to fraud detection, pricing 
errors, or product unavailability. 
●  Refunds & Returns: Refund eligibility is subject to product/service 
category, applicable policies, and specific vendor terms. Refunds will 
be processed within a stipulated time frame as per the Return & 
Refund Policy of the App. 

4.2  Payment Terms: 
●  Accepted Payment Methods: The App supports multiple payment 
modes, including but not limited to:  
●  Credit/Debit Cards (Visa, MasterCard, RuPay, etc.) 
●  UPI Transactions 
●  Net Banking 
●  Wallet Payments 
●  Cash on Delivery (if applicable) 
●  Secure Transactions: Payments are processed through third-party 
payment  gateways,  ensuring  encryption  and  security  measures 
compliant with RBI regulations and data protection laws. 
●  Billing Accuracy: Users must provide accurate billing and contact 
details.  Any  discrepancies  in  billing  information  may  lead  to 
transaction delays or order cancellations. 
●  Taxes & Additional Charges: Users agree to bear all applicable GST, 
duties, and other levies imposed by regulatory authorities. 

4.3 Subscription & Recurring Payments (If Applicable): 
1.  The App may offer subscription-based services for premium features 
or content. By subscribing, the User agrees to recurring payments as 
per the subscription plan. 
2.  Users can cancel subscriptions at any time before the next billing 
cycle to avoid automatic renewals. 
3.  The Company reserves the right to change subscription pricing, plans, 
or benefits with prior notice to subscribers. 

4.4 Disputed Payments & Chargebacks: 
●  In case of unauthorized transactions or billing disputes, Users must 
notify the Company within 7 days of the transaction date. 
●  The Company will investigate claims and resolve disputes as per 
payment gateway policies and applicable laws. 
●  Chargeback claims without valid reasons may result in account 
suspension and legal action. 

4.5.  Fraud Prevention & Risk Management: 
●  The Company employs fraud detection tools and reserves the right to 
verify transactions for suspicious activities. 
●  If a transaction is flagged as fraudulent, the Company may:  
●  Cancel the order without prior notice 
●  Report the incident to relevant authorities 
●  Restrict or suspend the User’s account 
By making a purchase or transaction through the Dhatu App, the User 
agrees to the terms set forth above. 

5.  INTELLECTUAL PROPERTY RIGHTS (IPR): 

5.1  Ownership of Intellectual Property: 
●  The Dhatu App, including but not limited to its design, layout, user 
interface,  content,  features,  trademarks,  logos,  domain  name, 
software, and databases, is the exclusive property of Microbi Infotech 
Private  Limited  (“Company”)  and  is protected under Indian and 
international intellectual property laws, including but not limited to 
the Copyright Act, 1957, the Trademarks Act, 1999, the Patents Act, 
1970, and relevant international treaties. 
●  The ownership of all rights, titles, and interests in the App and its 
content shall remain vested in the Company and its licensors. No 
rights, licenses, or interests are granted to the User other than those 
explicitly stated in these Terms. 


5.2  User License and Restrictions: 
●  Limited License: The Company grants the User a non-exclusive, 
non-transferable, revocable, limited license to access and use the App 
and  its  services  strictly  for  personal  or  business  purposes  in 
accordance with these Terms. 
●  Restrictions on Use: Users shall not:  
●  Modify, copy, distribute, reproduce, publish, or exploit any part 
of the App or its content for commercial purposes without prior 
written consent from the Company. 
●  Reverse engineer, decompile, disassemble, or attempt to extract 
the source code of the App. 
●  Use the App to create derivative works, competitive platforms, or 
any service that infringes on the intellectual property of the 
Company. 
●  Remove or alter any copyright, trademark, or proprietary notices 
from the App. 
●  Attempt unauthorized access to the App’s servers, data, or any 
restricted content. 


5.3  Trademarks and Branding: 
●  All trademarks, service marks, logos, and brand names displayed on 
the Dhatu App are the exclusive property of the Company or its 
licensors and are protected under the Trademarks Act, 1999 and 
international trademark laws. 
●  Unauthorized use, reproduction, or modification of any trademarks or 
brand identifiers without express written consent from the Company 
is strictly prohibited and may result in legal action. 
 
5.4  User-Generated Content and License to Use: 
●  The Dhatu App may allow Users to submit, upload, or share content, 
including reviews, comments, photos, videos, product listings, or 
other submissions (“User Content”). 
●  By  submitting  User  Content,  the  User  grants  the  Company  a 
non-exclusive,  worldwide,  royalty-free,  perpetual,  and  irrevocable 
license to use, reproduce, distribute, modify, and publicly display 
such content for the purposes of operating, promoting, or improving 
the App and its services. 
●  The  User  represents  and  warrants  that  they  own  or  have  the 
necessary permissions to use and share the submitted content and 
that such content does not infringe upon any third-party rights. 

5.5  Copyright Infringement & DMCA Compliance: 
●  The Company respects intellectual property rights and expects Users 
to do the same. If any content on the App is believed to infringe on 
copyrighted material, Users may submit a Copyright Infringement 
Notice by providing:  
●  A description of the copyrighted work that has allegedly been 
infringed. 
●  Identification  of  the  infringing  material  (with  URL  or 
screenshot). 
●  Contact  details  of  the  complainant  (name,  email,  phone 
number). 
●  A statement declaring the claim is made in good faith. 
●  The Company reserves the right to remove infringing content and take 
appropriate legal action against repeat offenders. 

5.6  Violation of Intellectual Property Rights: 
●  Any unauthorized use, reproduction, or distribution of the App’s 
content,  trademarks,  or  intellectual  property shall constitute an 
infringement and may result in legal consequences, including but not 
limited to civil claims, injunctions, and monetary damages. 
●  The Company reserves the right to pursue legal remedies to protect its 
intellectual property and may seek damages, legal fees, and injunctive 
relief. 
By using the Dhatu App, the User acknowledges and agrees to comply with 
these Intellectual Property Rights (IPR) provisions. 

6.  WEBSITE USAGE AND VISITOR OBLIGATIONS:

6.1  Permitted Use of the Dhatu App: 
●  The Dhatu App is designed to provide Users with access to organic 
products, sustainable farming solutions, educational content, and 
related  services.  Users  may  use  the  App  solely  for  lawful and 
legitimate purposes as per these Terms. 
●  By accessing or using the App, Users agree to comply with all 
applicable laws, regulations, and guidelines, including those under 
the Information Technology Act, 2000, the Consumer Protection Act, 
2019, and other relevant legal frameworks. 
●  Users  must  ensure that any information they provide (such as 
personal details, order requests, or payment information) is accurate, 
complete, and up to date. 

6.2  Prohibited Activities: 
Users shall not engage in any of the following prohibited activities while 
using the Dhatu App: 
●  Unauthorized Access & Security Violations: 
●  Attempting  to  hack,  disrupt,  or  compromise  the  security, 
integrity, or availability of the App. 
●  Engaging in phishing, malware distribution, or any form of 
cyber-attack against the App or its Users. 
●  Misuse of Content & Intellectual Property: 
●  Copying, modifying, distributing, or using any content from the 
App without prior written permission from the Company. 
●  Using automated tools such as bots, spiders, or scrapers to 
collect data from the App. 
●  Fraudulent or Illegal Transactions: 
●  Impersonating  another  person,  entity,  or  misrepresenting 
affiliation with any business or organization. 
●  Using stolen, unauthorized, or fraudulent payment methods to 
make purchases. 
●  Spamming & Unsolicited Communications: 
●  Posting, sending, or distributing unsolicited advertisements, 
promotional content, or junk messages via the App. 
●  Engaging in any activity that overloads, damages, or disrupts 
the App’s functionality. 
●  Harmful or Offensive Content: 
●  Uploading,  sharing,  or  transmitting  any  content  that  is 
defamatory, obscene, discriminatory, hateful, violent, or violates 
public order. 
●  Engaging in harassment, abuse, or threats against other Users, 
staff, or Company representatives. 
●  Third-Party Services & Interactions: 
●  Misusing third-party tools or external services integrated within 
the App. 
●  Violating the terms of service of third-party partners, vendors, 
or affiliates associated with the App. 

6.3  Monitoring & Enforcement: 
●  The Company reserves the right to monitor User activity on the App 
and take action against any misuse or policy violations. 
●  In case of non-compliance with these Terms, the Company may:  
●  Issue warnings or suspension notices to Users. 
●  Restrict, suspend, or permanently terminate User accounts. 
●  Report violations to law enforcement authorities if necessary. 

6.4  Reporting Violations: 
●  If a User encounters any misuse, fraudulent activity, or security 
threats, they should immediately report it to the Dhatu App support

●  The  Company  shall  investigate  reported  violations  and  take 
appropriate action as per its internal policies and applicable laws. 
By accessing and using the Dhatu App, the User acknowledges and agrees 
to comply with these Website Usage and Visitor Obligations. 

7.  LIMITATION OF LIABILITY: 

7.1  General Limitation of Liability 
●  The Dhatu App, its parent company Microbi Infotech Private Limited, 
affiliates, directors, employees, agents, and service providers shall not 
be  held  liable  for  any  direct,  indirect,  incidental,  special, 
consequential, or exemplary damages arising from: 
●  Use or inability to use the App, its products, or services. 
●  Unauthorized access, alteration, or loss of User data. 
●  Business interruptions, system failures, or technical issues. 
●  Delays,  disruptions,  or  unavailability  of  services  due  to 
third-party  service  providers,  including  payment  gateways, 
logistics partners, or content providers. 
●  The Company shall not be responsible for any loss of profits, business 
opportunities, goodwill, data, or other intangible losses resulting from 
the use of the App. 

7.2  Third-Party Service Providers & External Links: 
●  The Dhatu App may integrate third-party services (e.g., payment 
gateways,  logistics  providers,  external  product  suppliers).  The 
Company  does  not control, endorse, or assume liability for the 
actions, omissions, or policies of these third parties. 
●  Any  disputes, issues, or losses arising due to interactions with 
third-party service providers shall be addressed directly with the 
respective third party, and the Company shall not be liable for any 
damages arising from such transactions. 

7.3  Product & Service Disclaimers: 
●  The Company does not guarantee, warrant, or represent the accuracy, 
reliability, completeness, or effectiveness of any content, product 
descriptions, or nutritional information provided within the App. 
●  All products and services offered through the App are provided on an 
"as is" and "as available" basis, without any warranties, express or 
implied, including but not limited to merchantability, fitness for a 
particular purpose, or non-infringement. 
●  The Company is not responsible for any allergic reactions, side effects, 
or health-related issues arising from the consumption or use of any 
products available on the App. Users are advised to consult their 
healthcare provider or nutritionist before purchasing or consuming 
any food, herbal, or organic products. 

7.4  Technical & System-Related Limitations 
●  The  Company makes reasonable efforts to ensure uninterrupted 
access  to  the  App;  however,  it does not guarantee continuous, 
error-free, or secure access at all times. 
●  The Company shall not be liable for any temporary disruptions, server 
downtimes, software bugs, data loss, or cyber-attacks that may 
impact User experience. 
●  Users are responsible for ensuring their devices, internet connections, 
and security settings are properly configured while using the App. 

7.5  Limitation of Damages 
●  To the fullest extent permitted by law, the maximum liability of the 
Company for any claim arising out of the use of the App shall not 
exceed the total amount paid by the User for the specific transaction 
that led to the claim. 
●  If any limitation or exclusion of liability is found to be unlawful or 
unenforceable, the Company's liability shall still be limited to the 
fullest extent permitted by applicable law. 

8.  INDEMNIFICATION: 

8.1  User’s Obligation to Indemnify: 
By using the Dhatu App, the User agrees to defend, indemnify, and hold 
harmless Microbi Infotech Private Limited, its affiliates, directors, officers, 
employees, agents, licensors, service providers, and business partners from 
and against any and all claims, liabilities, damages, losses, costs, and 
expenses (including reasonable legal fees) arising from or related to: 
●  Violation of These Terms & Conditions 
Any breach of these Terms by the User, including but not limited to 
non-compliance with policies, misuse of the App, or failure to meet 
obligations. 
●  Unauthorized or Fraudulent Use of the App 
Any unauthorized, fraudulent, or unlawful use of the App, including 
unauthorized transactions, hacking attempts, or circumvention of 
security features. 
●  Misuse of Services & Intellectual Property 
Any unauthorized use, reproduction, or distribution of content, 
trademarks, or proprietary materials available on the App. 
●  Violation of Third-Party Rights 
Any claims made by third parties due to infringement of intellectual 
property rights, privacy violations, or contractual breaches caused by 
the User’s actions. 
●  Misrepresentation or False Information 
Any false, misleading, or fraudulent information provided by the User 
during account registration, transactions, or interactions within the 
App. 
●  User-Generated Content & Public Interactions 
Any damages or disputes arising from User comments, reviews, 
feedback,  or  submissions  that  violate  legal  rights  or  ethical 
standards. 

8.2  Indemnification Process: 
●  In the event of a claim subject to indemnification, the Company shall 
notify the User of such a claim in writing. 
●  The  User shall have the responsibility to promptly and actively 
cooperate in the legal defence of any such claim. 
●  The Company reserves the right to assume exclusive control over the 
legal defence of any indemnified claim at its discretion, with legal 
representation of its choosing. 
●  The User shall not settle any claim or dispute without prior written 
consent from the Company. 

8.3  No Waiver of Rights: 
The Company’s failure to enforce any provision under this Indemnification 
clause shall not be construed as a waiver of its legal rights. The Company 
reserves the right to pursue full legal remedies against any violators. 
By using the Dhatu App, the User acknowledges and agrees to indemnify 
and hold the Company harmless against any legal or financial consequences 
resulting from their actions. 

9.  DISPUTE RESOLUTION 

9.1  Amicable Settlement: 
●  The Parties shall make all reasonable efforts to resolve disputes 
amicably through good-faith negotiations. 
●  Users must first contact the Dhatu App Customer Support at [Insert 
Contact Email] to report any dispute, providing relevant details and 
supporting documents. 
●  The Company shall respond within 30 (thirty) days and attempt to 
resolve the dispute amicably through discussion. 

9.2  Mediation: 
●  If an amicable settlement is not reached within 60 (sixty) days of the 
initial dispute notification, the dispute shall be referred to mediation 
before proceeding with arbitration or litigation. 
●  Mediation shall be conducted by a mutually agreed independent 
mediator or, if no agreement is reached, by a mediator appointed in 
accordance with the Mediation Act, 2023 (as applicable in India). 
●  The mediation process shall be conducted online or at a neutral 
location, with each party bearing its own costs. 

9.3  Arbitration Clause: 
●  If mediation fails, the dispute shall be settled by binding arbitration 
under the Arbitration and Conciliation Act, 1996, as amended. 
●  The arbitration shall be conducted by a sole arbitrator appointed by 
mutual agreement. If the parties fail to appoint an arbitrator within 30 
days, the arbitrator shall be appointed as per the rules of the Indian 
Council of Arbitration (ICA). 
●  The arbitration proceedings shall be conducted in English and held in 
Bangalore, Karnataka, India. 
●  The arbitral award shall be final and binding on both parties and 
enforceable under applicable law. 
●  Each party shall bear its own arbitration costs, except where the 
arbitrator decides otherwise. 

9.4  Jurisdiction & Litigation: 
●  If arbitration is not applicable due to legal or regulatory reasons, the 
dispute shall be subject to the exclusive jurisdiction of courts in

10.  GOVERNING LAW & JURISDICTION: 

10.1.  Applicable Laws 
●  These Terms & Conditions, along with any disputes, claims, or legal 
proceedings arising from or related to the use of the Dhatu App, shall 
be governed by and construed in accordance with the laws of India. 
●  The applicable laws include but are not limited to:  
●  The  Indian  Contract  Act,  1872-  Governing  agreements, 
transactions, and obligations between the Company and Users. 
●  The Consumer Protection Act, 2019 – Governing consumer 
rights, grievance redressal, and liabilities related to products 
and services. 
●  The  Information  Technology  Act,  2000-  Governing  digital 
    transactions, online security, and privacy of User data. 
●  The Food Safety and Standards Act, 2006- Applicable to food 
     and wellness products offered on the App. 
●  The Arbitration and Conciliation Act, 1996- Governing dispute 
     resolution via arbitration. 
●  The Digital Personal Data Protection Act (DPDP Act), 2023. 

10.2 Jurisdiction for Legal Proceedings: 
●  Subject to the Dispute Resolution clause, any dispute that requires 
legal intervention shall be subject to the exclusive jurisdiction of the 
courts in Bangalore, Karnataka, India. 
●  Users agree that they shall not initiate proceedings in any jurisdiction 
other than the one specified above. 

10.3 Conflict with Local Laws: 
●  If any provision of these Terms & Conditions is contrary to the laws of 
a User’s jurisdiction, such provision shall be deemed modified only to 
the extent necessary to comply with local laws, without affecting the 
enforceability of the remaining terms. 
●  The Company does not warrant that the App’s content, products, or 
services comply with laws outside India. Users accessing the App from 
foreign jurisdictions shall do so at their own risk and are responsible 
for ensuring compliance with local laws. 

11.  TERMINATION & SUSPENSION 

11.1  Right to Terminate or Suspend Accounts 
●  Dhatu App reserves the right to suspend, restrict, or terminate a 
User’s access to the App, in whole or in part, without prior notice, if: 
●  The User violates these Terms & Conditions, Privacy Policy, or 
any other applicable policies. 
●  The  User  engages  in  fraudulent,  illegal,  or  unauthorized 
activities on the App. 
●  The User provides false, misleading, or incomplete information 
during account registration or transactions. 
●  The Company detects suspicious activities such as multiple 
failed  payment  attempts,  misuse  of  promo  codes,  or 
unauthorized access. 
●  The User engages in abusive, defamatory, or harassing behavior 
toward the Company, its employees, service providers, or other 
Users. 
●  The User breaches intellectual property rights, attempts to 
reverse-engineer the App, or interferes with its operations. 
●  The Company shall not be liable for any loss of access, data, or 
pending orders resulting from such suspension or termination.
 
11.2 User’s Right to Terminate Account: 
●  Users may terminate their account at any time by:

●  Deleting their account via the App settings (if applicable). 
●  Upon termination, the User shall:

of Liability, Indemnification, Intellectual Property Rights, and Dispute 
Resolution, shall survive termination. 

12.  ACCURACY OF BILLING AND ACCOUNT INFORMATION 

12.1 User Responsibilities: 
●  Users agree to provide complete, accurate, and up-to-date billing and 
account information when making a purchase or registering on the 
Dhatu App. 
●  Users must promptly update their account details, including billing 
address, contact number, and payment details, to avoid disruptions in 
order processing or service access. 
●  Any inaccuracies, omissions, or outdated information provided by the 
User may result in:  
●  Order cancellations, processing delays, or failed transactions. 
●  Suspension or termination of the User’s account. 
●  The inability to process refunds or returns due to incorrect 
details. 

12.2 Company’s Right to Verify Information: 
●  The Dhatu App reserves the right to verify the accuracy of billing and 
payment details before processing any order. 
●  The Company may request additional documents or verification steps 
(such as OTP authentication or identity proof) if suspicious activity is 
detected. 
●  Failure to comply with verification requests may result in order 
cancellation or account suspension. 

12.3 Order Rejection & Modification:

●  The User provides incomplete or inaccurate billing information. 
●  Fraudulent or unauthorized transactions are suspected. 
●  The order violates any applicable law or Company policy.

12.4 Responsibility for Payment Methods: 
●  Users acknowledge that they are solely responsible for ensuring their 
selected payment method (credit card, debit card, UPI, net banking, 
etc.) has sufficient funds and is valid for transactions. 
●  If a payment is declined or fails due to insufficient funds, expired 
cards, or technical issues, the Company is not liable for order delays 
or cancellations.

●  The  Company  does  not  monitor,  control,  or  assume 
responsibility for the functioning, availability, or security of

●  Use of third-party tools is at the User’s own risk, and the

not  endorse,  monitor,  or  guarantee  the  accuracy,  reliability,  or 
security of such third-party content. 

14.2 User’s Responsibility When Accessing Third-Party Content: 
●  Users acknowledge that clicking on third-party links and engaging

agree not to post or share any content that:
